REPORT OF THE DIRECTORS
The directors of Willas-Array Electronics (Holdings) Limited (the “Company” and the “Directors”,
respectively) present their report together with the audited consolidated financial statements of the
Company and its subsidiaries (the “Group”) including the statement of financial position and the
statement of changes in equity of the Company for the financial year ended March 31, 2016 (the “Year”).

PRINCIPAL ACTIVITIES
During the Year, the Company acted as an investment holding company. The principal activities of
its subsidiaries were the distribution of electronic components in mainland China, Hong Kong and
Taiwan.

BUSINESS REVIEW
A fair review of the business of the Group as well as a discussion and an analysis of the Group’s
performance during the Year and the material factors underlying its financial performance and
financial position can be found in the “Chairman’s Statement” and “Management Discussion and
Analysis” set out on pages 8 and 10 and pages 11 to 17 of this annual report respectively. An
analysis of the Group’s financial risk management is provided in note 5 to the consolidated financial
statements.
An analysis of the Group’s performance during the Year using financial key performance indicators
is provided in Financial Highlights on pages 4 to 7 of this annual report.
The Group recognises its responsibility to protect the environment from its business activities.
The Group continually seeks to identify and manage environmental impacts attributable to its
operational activities in order to minimise these impacts if possible. The Group aims to maximise
energy conservation in its offices by promoting an efficient use of the resources and adopting green
technologies. For instance, the Group continues to upgrade the communication equipment such
as video conference system to minimise carbon dioxide emissions through less travelling among
offices located in various geographical locations.
During the Year, the Group is in compliance with all the laws and regulations that are applicable to
the business operations of the Group, including but not limited to the Rules Governing the Listing
of Securities on The Stock Exchange of Hong Kong Limited (the “SEHK” and the “HK Listing
Rules”, respectively) and the applicable laws in Bermuda.
