BOARD OF DIRECTORS
Composition
The Board comprises seven members, four of whom are executive Directors (the “Executive Directors”)
and three of whom are INEDs. The composition of the Board is as follows:

Pursuant to Code Provision 3.3 of the Singapore CG Code, every company should appoint an
independent director to be the lead independent director where the Chairman is not an independent
director. The lead independent director should be available to the Shareholders where they have
concerns and for which contact through the normal channels of the Chairman, the Managing Director or
the Chief Financial Officer has failed to resolve or is inappropriate. Mr. Wong Kwan Seng, Robert (email

) was appointed as the Lead Independent Director among the existing
INEDs effective on May 29, 2015.
The Board, taking into account the nature of operations of the Group, considers its current size to
be adequate for effective decision-making. Key information regarding the Directors’ background,
qualifications and other appointments is set out on pages 18 to 20 of this Annual Report. There has been
no financial, business, family or other material relationship amongst the Directors.
